Terms of Service

Draft, under legal review. This page describes how Algotally works today, but a lawyer hasn’t reviewed it yet and highlighted parts are still to be filled in. Questions: contact email.

Algotally ("Algotally," "we," "us") provides data and reporting tools that show which websites AI models cite when asked for local business recommendations, and generates reports based on that data ("the Service"). By creating an account or using the Service, you ("Subscriber," "you") agree to these Terms.

1. What the Service Is (and Isn't)

Algotally provides data, analysis, generated reports, and draft materials (see §3.5). Signal Index is not a marketing, outreach, or lead-generation service. We do not contact businesses on your behalf, send email or text messages to anyone, or represent your business, brand, or clients in any communication. Anything you do with the data or reports the Service produces — who you contact, how, and what you say — is entirely your own action, taken outside the Service.

2. Accounts and Subscription Tiers

2.1. You must provide accurate information when creating an account and keep your login credentials confidential. Any API key you create is a credential of your account: you are responsible for keeping it confidential and for all use of the Service made with it until you revoke it.

2.2. The Service is offered in subscription tiers (currently: Starter, Growth and Agency) as described at /pricing. Each tier has its own usage limits (markets, report runs per period, etc.); using the Service beyond your tier's limits requires upgrading.

2.3. Subscriptions renew automatically each billing period until canceled. You may cancel at any time; cancellation takes effect at the end of the current billing period, and no partial refunds are issued for the remainder of a period already paid for. Confirm refund policy — this is a placeholder default.

2.4. We may suspend or terminate an account that violates these Terms, including the outreach and data-usage restrictions in §3 and §5 below.

3. Your Responsibility for Outreach and Marketing Compliance

3.1. You, not Algotally, are solely responsible for your own compliance with the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), applicable state marketing and privacy laws, and any other law governing how you contact a business or individual, whenever you use data or reports obtained from the Service to do so.

3.2. Algotally provides data and reporting tools. It does not send email, text messages, phone calls, or any other communication to any business or individual on your behalf, and it makes no representation that any business identified in a report has consented to be contacted or is a suitable outreach target under any law.

3.3. You agree to indemnify and hold Algotally harmless from any claim, penalty, or liability arising from your use of Service data or reports in your own outreach, marketing, or sales activity, including any claim that such activity violated CAN-SPAM, TCPA, or any similar law.

3.4. At signup and periodically thereafter, we will show you a plain-language reminder of this responsibility; that reminder is a courtesy and does not narrow the responsibility set out in this section.

3.5. Drafts. The Service can generate draft materials, including outreach emails, phone openers, pitches to publications, FAQ text, listing descriptions, and website files, some of them written with the help of AI models. Drafts are suggestions for you to review, edit, and decide whether to use. If you send, publish, or install one, you do so as the sender or publisher, and you are solely responsible for its content, its accuracy, and its compliance with §3.1, including filling in your own identifying details, mailing address, and opt-out wording where the law requires them. Drafts may contain errors; check every statement against the underlying report and the business's own information before use. The Service never sends a draft for you.

3.6. Market rates. Where the Service shows what others charge for similar services, those figures are published information provided for reference only. They are not advice on what you should charge; your pricing is your own decision.

3.7. Business information you enter. When you enter details about a business (its profile or facts), you confirm that you are entitled to use that information for your work with that business and that it is accurate to the best of your knowledge. Do not enter information you obtained in breach of another service's terms.

4. White-Label Reports (Operator Tier)

4.1. If your subscription tier permits branding reports with your own name, logo, or company identity ("white-labeling"), every white-labeled report must carry a small, clearly legible, non-removable disclosure substantially in the form: "Data and analysis by Algotally." You may not remove, obscure, resize below legibility, or instruct end recipients to disregard this disclosure.

4.2. You are solely responsible for any claim, promise, guarantee, or representation you make to a business or client beyond what a Algotally report itself states — including in cover emails, sales conversations, or your own branding around the report. Algotally is not a party to, and assumes no responsibility for, any such additional claim.

4.3. Nothing in this section grants you any right to use Algotally's name, logo, or trademarks except for the required disclosure in §4.1, in the form we specify.

5. Data Usage Limits

5.1. You may use data and reports obtained through the Service to generate reports for, and conduct your own work on behalf of, your own clients or prospects, in the ordinary course of the freelance or agency work the Service is designed to support.

5.2. You may not:

a. Bulk-export, scrape, or systematically extract the underlying data (citation records, source rankings, market benchmarks, or any other dataset the Service exposes) with the purpose or effect of building a separate database, dataset, or product that competes with or substitutes for the Service;

b. Resell, sublicense, or redistribute the underlying data as a standalone product, dataset, or feed, whether for a fee or free of charge, distinct from the reports and analysis you generate for your own client work;

c. Use automated means (scripts, bots, scrapers) to access the Service beyond the report generation and API usage your subscription tier explicitly provides.

5.3. A generated report itself — the specific analysis and citations Algotally produces for a business you looked up — is yours to deliver to your client or prospect as part of your own work product. The restriction in §5.2 is about the underlying aggregate dataset, not about using the individual reports you're entitled to generate.

5.4. We may monitor usage patterns (API call volume, report-generation rate, export activity) to detect activity that violates this section, and may suspend or terminate an account engaged in it.

6. Fees, Billing, and Quotas

6.1. Fees are billed in advance for each billing period via our payment processor (Stripe). You authorize recurring charges to your payment method until you cancel.

6.2. Each tier includes a usage quota (e.g., report runs per period, number of markets). We reserve the right to reject a report request that would exceed your tier's quota and to prompt you to upgrade; we do not silently throttle or degrade report quality instead of enforcing a quota.

6.3. Prices may change with 30 days' notice for renewing subscribers; a price change takes effect at your next renewal, not mid-period.

7. Data Sources and Accuracy

7.1. Reports are generated from Algotally's own probing of third-party AI models and publicly available citation data, and from live checks of publicly reachable websites. Signal Index does not guarantee that any AI model's behavior at the time of your report reflects its behavior at any later time, and results may vary between runs of the same query.

7.2. Where the Service incorporates third-party business or place data (for example, via the Yelp Fusion API or a Google Places lookup), that data is subject to the applicable third-party provider's own terms, and Algotally's storage of such data is limited as described in our data-handling practices link to a data-handling doc if one becomes public.

7.3. Reports are provided "as is" for informational purposes. Algotally makes no warranty that any recommendation, score, or finding in a report will result in any particular business outcome for you or your client.

8. Intellectual Property

8.1. Algotally retains all rights in the Service, its underlying data, software, and methodology. Subject to §5 (Data Usage Limits) and §4 (White-Label Reports), we grant you a limited, non-exclusive, non-transferable license to use the Service and the reports it generates for your own client work during your subscription.

8.2. You retain ownership of any content you submit to the Service (e.g., a business name or URL you look up), but grant us the right to process it to generate your report.

9. Limitation of Liability

9.1. To the maximum extent permitted by law, Algotally's total liability for any claim arising from the Service is limited to the amount you paid us in the 3 months preceding the claim.

9.2. Algotally is not liable for indirect, incidental, or consequential damages, including lost profits or lost business, arising from your use of the Service or of any report it generates. This and §9.1 are standard SaaS boilerplate — an attorney should confirm they're appropriate for your jurisdiction and enforceable as drafted.

10. Termination

10.1. Either party may terminate at any time as described in §2.3. We may also terminate immediately for a violation of §3 (outreach responsibility), §4 (white-label disclosure), or §5 (data usage limits).

10.2. Sections 3.3 (indemnification), 5 (data usage limits, as to data already obtained), 8 (intellectual property), and 9 (limitation of liability) survive termination.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified to active subscribers by email at least 14 days before taking effect. Continued use of the Service after that date constitutes acceptance.

12. Governing Law and Disputes

These Terms are governed by the laws of state/jurisdiction, without regard to conflict-of- law principles. Decide here whether disputes go to courts in a specific venue, or to arbitration — this is a real legal decision, not a formatting choice, and needs counsel input.
